16. Dispute Resolution and Arbitration

Agreement to Arbitrate: You and Path Numbers agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if they qualify.

Waiver of Class Actions: YOU AND PATH NUMBERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Arbitration Procedures: The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English and held in the State of California, unless you and we agree otherwise.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

Survival: This arbitration agreement shall survive termination of these Terms and your use of the Service.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration, the exclusive jurisdiction shall be the state and federal courts located in California.
